SALE AGREEMENT

 

 

 

          THIS AGREEMENT  TO SELL is made at Karachi,  on this ______       day of  ______ 20

 

BETWEEN 

 

………………………………………..,Muslim, adult, Holding CNIC No…………………R/o………………………………., Karachi hereinafter referred to as the “Vendor” which expression wherever the context so permit shall mean and include his heirs, legal representatives, successors, executors, administrators, attorneys, assigns and all persons claiming title through or under him of the One Part,

 

A N D

 

……………………………………………….Muslim, adult, Holding CNIC No………………………R/o………………………………..,Karachi, hereinafter referred to as the “Vendee  which expression wherever the context so permits shall mean and include his heirs, legal representatives, successors, executors, administrators, attorneys, assigns, and all persons claiming title through or under it, of the Other Part.

 

          WHEREAS the  vendor is at the date of these presents sole and undisputed lawful owner, seized, possessed of and is otherwise well and sufficiently entitled to Shop No.7, located on Ground Floor, admeasuring 332 sq.ft. or thereabout, Plot No.12-C, Street No.11, Badar Commercial Area, Phase-V (Ext) situated in Pakistan Defence Officers Housing Authority or  thereabout where Estilo Wardrobe is carrying out the business of Tailoring and Designing, hereinafter referred to the said Property.

 

          AND WHEREAS the Vendor has agreed to sell and the Vendee has agreed to purchase the said property with a good marketable title free from all claims, charges, liens, demands and encumbrances of whatsoever nature and in vacant possession for a total sale consideration of Rs. 23,00,000/- (Rupees twenty three lacs only).

 

NOW THIS AGREEMENT WITNESSETH on the  terms and conditions hereinafter appearing.

 

1.           That  the Vendee has  already paid  a sum of Rs. 13,00,000/- (Rupees thirteen lacs) to the Vendor through Pay order No………. dated 6.12.2010 drawn on Standard Chartered Bank  Pakistan Ltd. and also a sum of Rs.50,000/- totaling to Rs.13,50,000/- (Thirteen lacs fifty thousand only) to the vendor, which has been acknowledged through a separate receipt.

 

2.           That the balance amount of Rs.9,50,000/- (Nine lac fifty thousand) has been paid by the Vendee to the vendor today  through Pay Order of Rs.7,00,000/- bearing No.____________ dated__________ drawn on _________________________________ and Pay order of Rs. 2,50,000/- bearing No.........................., dated .......drawn on Faisal Bank Ltd.

 

3.           That the Vendee has thus paid the total sale consideration of Rs. 23,00,000/- to the Vendor which is acknowledged by him.

 

4.           That the vendor has handed over all the original documents of the said property to the Vendee.

 

5.           That the vendor has also handed over the physical possession of the said property to the vendee.

 

6.           That the  vendors further covenant with the vendee that the  allotment /transfer order/lease  in respect of the said property is in full force and is subsisting and the vendor has not committed any thing by which the same may be impaired or has become or may become void or voidable and that she has not prior to the date of these presents done, made, committed, caused or knowingly suffered to be done any such act, thing, deed whereby or by reason of which  the right to transfer the said property has been or may be impaired or that the property is charged, encumbered or prejudicially effected in any way.

 

7.           That the Vendor  hereby assures the vendee that he is the lawful owner of the said property, which is free from all sorts or claims, lien, charges, and encumbrances whatsoever in nature and that they have  perfect and good title and lawful authority to sell the said property to the vendee in all respects.

 

8.           That the Vendee shall have the right to get the said property transferred in his own name or in the name of his nominee(s) and the Vendor hereby undertakes to do all acts, deeds and things necessary and expedient for the transfer of the said property in the name of the Vendee or his nominee before the  concerned Departments.

 

9.           That the vendors shall be responsible to pay all the dues, property taxes, water and conservancy charges, electricity and sui gas charges to the concerned authorities upto the date of singing of this agreement and thereafter the Vendee shall be responsible to pay the same.

 

10.        That the vendee shall  bear transfer fee and all documentation charges in connection with transfer of the aforesaid  property in his name or his nominee’s name.

 

11.        That in case it is found that the title and rights of the vendor were legally defective and there were found any impediment in the transfer in favour of the vendee then the vendor thereby undertakes to fully secure and indemnify the vendee for all costs, charges, liabilities, expenses, losses, detriments, actions, suits, litigations demands and claims referred by any person against or in respect of the said property.

 

12.        That the Vendor has agreed to execute a General Power of Attorney in respect of the said property in favour of  ………………………….Muslim, adult, holding CNIC No. ……………………..r/o……………, DHA, Phase-V (Ext) Karachi  to do all things, acts, and deeds as mentioned in the said General Power of Attorney.

 

IN WITNESS WHEREOF both the parties hereto have put their respective signatures at Karachi, on the day month and year first hereinabove written in presence of the following witnesses.
